Round Hill Search is representing a prestigious boutique firm in its search for a mid-level Corporate/M&A Attorney to join a high-performing and collaborative Corporate and M&A practice group. This is a unique opportunity to handle complex, high-stakes transactions while enjoying a strong emphasis on culture, growth, and flexibility. As a valued member of this sophisticated practice group, you will work closely with partners and clients on a broad array of corporate transactions. You’ll play a key role in drafting, negotiating, and managing transactions from start to finish, while building trusted relationships with business leaders and maintaining a healthy work-life integration. The Managing Partners at the firm offer a dynamic and progressive style of leadership, having built the firm and brand over the years into a highly recognizable one that attracts sophisticated clients and high-quality work for their attorneys.

Duties:

• Draft, review, and revise stock and asset purchase agreements, ancillary acquisition documents, LLC agreements, stockholder agreements, NDAs, employment agreements, and corporate governance materials.
• Interface directly with clients and opposing counsel to manage deal timelines and ensure successful closings.
• Contribute to strategic negotiations and transaction planning with senior attorneys and clients.

Qualifications:

• 3–4 years of experience handling M&A and corporate transactions at a top-tier law firm or boutique.
• Exceptional drafting and negotiation skills.
• Strong interpersonal and communication abilities—you’ll be client-facing from Day One.
• Team player who thrives in a fast-paced, deal-oriented environment.
• Proactive, curious, and eager to expand your skill set.

Compensation/Other:

• Billable Hour Requirement: 1,800 hours
• Base Compensation: $200,000 – $230,000 annually
• Work Schedule: Hybrid, with up to 3 days remote per week
• Business Development Budget: $2,500 annually
